CVG Launches Ownership Transition Service Package

CVG supports firm founders who are embarking on ownership and leadership transition in their firms. Be it internal succession, merger, acquisition, or even firm closure, CVG can help you plan for a successful transition.

CVG’s VP of Investment Partnerships, Rena M. Klein, FAIA, directs this effort. Rena has years of experience advising architecture firm leaders on leadership transition options.

This service is offered in two phases.

Phase One: Assessment

CVG will work with current firm owners to help them understand options and articulate a direction and timeline for ownership and leadership transition.

  • Financial assessment, including preliminary valuation based on book value

  • Market position and business development evaluation

  • Leadership and culture assessment, including owner(s) retirement goals

  • Recommendations for transition options based on assessment

We will facilitate a discussion of our findings - the opportunities and challenges of the transition option(s) presented. Once a direction is chosen, we can move onto phase two.

Phase Two: Transition Planning

If Internal Transition:

  • Development of preliminary transition roadmap and cash flow proforma

  • Comprehensive firm valuation (provided by others)

  • Finalize transition roadmap and cash flow proforma for review by an accountant

  • Development of shareholder agreement framework for review by an attorney

If Merger or Acquisition:

  • Confidential outreach to potential buyers

  • Develop prospect profile

  • Prospect research and identification

  • Advice on merger or acquisition agreement terms

  • Support negotiations of merger or acquisition agreement

If Firm Closure:

  • Support development of closure plan

Process: Phase One (Left/Red) and Phase Two (Right/Green/Blue/Purple)
